U.S. LLC formed from abroad: what comes next?

Formation creates the state-law entity. It does not automatically issue an EIN, open a bank account or settle U.S. tax and licensing obligations.

StepDecision and source
Save formation recordsKeep the approved filing, registered-agent details and operating agreement; check ongoing state reports.
Apply for an EIN if neededThe IRS says to form the entity first. International applicants with a principal place of business outside the U.S. can use the applicable phone, fax or mail route; verify current SS-4 instructions.
Evaluate bankingCompare bank-specific country eligibility, beneficial-owner ID, business activity and acceptable physical address. An EIN is not approval.
Review tax and licensesOwner, entity classification and transactions may create federal information returns; activity and operating locations can create state and local obligations.

A concrete bank-policy example

Mercury's published eligibility and address pages distinguish legal address from a physical operating address, prohibit certain address types, and make eligibility depend on supported countries and businesses. Keep tax questions distinct from banking

A foreign-owned single-member U.S. LLC may be disregarded for income tax yet need Form 5472 with a pro forma Form 1120 for reportable transactions. Ask a cross-border tax professional about both U.S. and home-country obligations; the formation receipt does not answer those questions.

Frequently asked questions

Does LLC approval include an EIN?

No. State formation and an IRS EIN are separate steps; the IRS says to form the entity before applying for an EIN.

Can a founder outside the United States apply for an EIN?

Yes, international applicants can use the IRS routes applicable to their principal place of business, including phone, fax or mail. Check current Form SS-4 guidance.

Will an EIN guarantee a U.S. bank account?

No. Banks set their own eligibility, identity, activity and address requirements; an EIN is only one document.

Does a nonresident founder automatically owe Form 5472?

Not automatically. A foreign-owned U.S. disregarded entity must assess whether it had reportable transactions under the IRS instructions, including certain owner contributions or distributions.

Can I use my registered agent office as my bank address?

Do not assume so. Bank policies can distinguish legal, operating and mailing addresses; confirm the chosen bank’s current requirements.
