"LLC or S-Corp" mixes two different choices. You form an LLC under state law. An eligible LLC can elect S corporation tax treatment; doing so does not erase its state-law LLC.
| Decision | Default LLC treatment | S election |
|---|---|---|
| Federal classification | A single-member LLC is generally disregarded; a multi-member LLC generally defaults to partnership treatment unless it elects otherwise. | An eligible entity files Form 2553; election and timing rules apply. |
| Owner limits | LLC ownership is governed by state law and tax classification. | S corporations cannot have nonresident-alien shareholders and must satisfy other IRS restrictions. |
| Paying working owners | Tax treatment depends on classification and facts. | Officer/shareholder services generally call for reasonable wages subject to employment taxes; distributions are not a substitute for wages. |
| Administration | State LLC reports plus applicable owner or entity returns. | Additional payroll and an S corporation return may apply; compare professional costs before assuming savings. |
Who should not assume an S election works?
A nonresident-alien owner is not an allowable S shareholder under the IRS rules. A U.S. citizen living abroad is a different question; tax residency and owner status matter. The election also has shareholder, class-of-stock and domestic-entity limits. IRS S corporation eligibility · Form 2553
When does it save tax?
There is no universal profit threshold. Model net profit, reasonable salary, payroll costs, state taxes and accountant fees together with a qualified tax adviser. The IRS treats wages for actual officer services differently from distributions. IRS officer compensation guidance

Frequently asked questions
Is an LLC the same thing as an S corporation?
No. An LLC is formed under state law; S corporation is a federal tax classification available to eligible entities after a valid election.
Can an LLC elect S corporation status?
An eligible LLC can elect S corporation tax treatment by filing Form 2553 under IRS rules. It remains an LLC under state law.
Can a nonresident alien own an S corporation?
No. The IRS lists nonresident-alien shareholders as disallowed for S corporations. Citizenship, tax residency and ownership should be checked individually.
Does an S election automatically lower tax?
No. Compare reasonable owner wages, payroll taxes and costs, state rules, profit and tax facts before projecting any savings.
Can an S corporation pay only distributions to a working owner?
Not generally. The IRS says an S corporation must pay reasonable compensation for officer/shareholder services before non-wage distributions.
