How do you close an LLC without leaving filings open?

Closing sales or a bank account does not end the legal entity. Finish state filings and tax work, including states where the LLC registered outside its home state.

What if the LLC never made money?

Do not replace the state filing with inactivity. Delaware, for example, has a cancellation process and annual tax while an LLC remains active in its records. Federal classification still matters

The IRS says an LLC can be treated as disregarded, a partnership or a corporation for federal income tax. Final returns and related forms depend on classification and activity. Does stopping business automatically close an LLC?

No. State dissolution or cancellation and any required withdrawals must be handled separately, along with tax and license steps.

Must I withdraw in states outside the LLC’s formation state?

If it registered to do business in other states, check each state’s withdrawal or termination process. Closing only in its formation state may leave obligations open elsewhere.

Are final federal returns required?

The IRS says to file the applicable final return for the year a business closes; form requirements depend on its federal tax classification and activity.

Can I just cancel my EIN first?

Do not treat an EIN closure as state dissolution. The IRS lists closing its business account as one step after addressing final returns and taxes.

What if a foreign-owned LLC had no sales before closing?

Check whether owner contributions, distributions or other reportable transactions trigger Form 5472 with a pro forma Form 1120, even without sales.
